These Terms of Service ("Terms") govern your access to and use of the LocaLoyal mobile application and related services (collectively, the "Service") provided by LocaLoyal ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
You must be at least 18 years old to create an account and use the Service. By using the Service, you represent that you meet this requirement and that the information you provide is accurate and current.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized access. You are responsible for providing accurate information when registering, including your name, email address, phone number, and your stated relationship to any store you associate with your account.
The Service allows you to associate with one or more stores in roles such as Owner, Employee, or Friend (community member). You agree to accurately represent your relationship to each store you join. We may verify ownership claims and may require additional documentation. We may revoke, suspend, or modify role assignments at any time if we determine, in our sole discretion, that a claim is inaccurate or has been disputed.
Submissions made through the Service must originate at the physical location of the associated store. We use device location data and embedded video metadata to verify this. Submissions that cannot be verified may be rejected.

You retain ownership of the videos and other content you submit through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, analyze, and display your User Content for the purpose of operating and improving the Service, including processing it through automated image-recognition systems.
You represent and warrant that you have the necessary rights to submit any User Content you provide and that doing so does not violate any third-party rights or applicable law.
The Service uses SMS to verify your phone number. By providing your phone number, you consent to receive verification messages from us. Standard message and data rates may apply. Reply STOP to any verification message to opt out of further SMS from us. We do not send marketing or promotional SMS.
We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuance of the Service.
We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including if we believe you have violated these Terms. You may stop using the Service and delete your account at any time by contacting us.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. PRODUCT IDENTIFICATION RESULTS GENERATED BY AUTOMATED SYSTEMS MAY BE INACCURATE; YOU ARE RESPONSIBLE FOR REVIEWING AND CONFIRMING ANY RESULTS BEFORE RELYING ON THEM.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL LOCALOYAL, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
You agree to indemnify and hold LocaLoyal harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms.
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Any disputes arising under these Terms will be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to the jurisdiction of those courts.
We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by other means before the changes take effect. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms.
